The agreement between you and 株式会社フリーボーン for using the AI SNS CHAT platform.
These Terms of Service (these "Terms") are a binding agreement between you and 株式会社フリーボーン (Freeborn K.K., "Freeborn", "we", "us", or "our"), a company incorporated in Japan with its registered office at 〒564-0051 大阪府吹田市豊津町11-39 江坂クリスタルビル3階. They govern your access to and use of the AI SNS CHAT platform, the website at ai-sns.io and its subdomains, our dashboards, APIs, chat widgets, telephony and messaging integrations, and all related products, features, documentation, and services we provide (together, the "Service").
By creating an account, clicking to accept these Terms, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, you must not access or use the Service.
Important: These Terms include disclaimers of warranties (Section 18), a limitation of our liability (Section 19), an obligation for you to indemnify us (Section 20), and provisions on suspension and termination (Section 21) and governing law and jurisdiction (Section 26). Please read them carefully.
"You" or "Customer" means the individual or entity that accesses or uses the Service. "Customer Content" means the data, documents, files, text, website addresses, question-and-answer pairs, prompts, agent instructions, configurations, contacts, and other materials you upload to or generate through the Service. "AI Agent" means an artificial-intelligence assistant that you configure, train, and deploy using the Service. "End User" means a person who interacts with your AI Agent. "Output" means content generated by the Service in response to inputs. "Message Credit" means a unit consumed when your AI Agent generates a reply, as described on the Pricing page. "Documentation" means the usage guides and materials we make available for the Service.
The Service lets you build, train, configure, deploy, and manage AI Agents that answer questions and take actions using knowledge and tools you provide, and to deploy those agents across channels such as a web chat widget, email, telephone and voice, live chat and helpdesk, and connected messaging platforms. The Service also provides related functionality that may include a playground, an inbox, chat logs, analytics, topics and sentiment, leads and contacts, data sources, actions and workflows, integrations, outbound messaging, voice features, and administrative and billing tools. We may add, modify, or remove features from time to time in accordance with Section 23.
To use the Service, you must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a binding contract. You must not be barred from using the Service under the laws of any applicable jurisdiction. You agree to provide accurate, current, and complete information during registration and to keep it up to date. We may refuse, suspend, or terminate registration at our discretion where permitted by law.
You are responsible for your account and workspace, for all members you invite, and for all activity that occurs under your account, whether or not authorized by you. You must keep your credentials confidential, use appropriate security measures, and notify us promptly at contact@ai-sns.io of any suspected unauthorized use or security breach. You are responsible for the acts and omissions of the members and users you permit to access your workspace, and their use counts toward your plan limits. We are not liable for any loss arising from unauthorized use of your account that results from your failure to safeguard your credentials.
Subject to your compliance with these Terms and, for paid plans, your payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during the term of your subscription. Your use is subject to the limits of your plan, including limits on AI Agents, Message Credits, members, training-content size, actions, and enabled features, as described on the Pricing page or your order.
Except as these Terms expressly permit, you must not, and must not allow any third party to: copy, modify, translate, or create derivative works of the Service; reverse engineer, decompile, or disassemble the Service, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law; rent, lease, sell, sublicense, distribute, or provide the Service to third parties as a service bureau; remove or obscure proprietary notices; circumvent or disable usage limits, security, or access controls; or access the Service to build a competing product or to benchmark it without our prior written consent.
You agree not to use the Service, and not to permit any member or End User to use it, to do any of the following.
We may investigate suspected violations and cooperate with law-enforcement authorities. We may remove content, disable features, or suspend or terminate access in accordance with Section 21. Our abuse-protection and rate-limiting controls may apply automatically.
You are solely responsible for the AI Agents you configure and deploy, including the knowledge and Customer Content you provide, the instructions and system prompts you give them, the actions and integrations you enable, the channels on which you deploy them, and the Outputs they produce for your End Users. You are responsible for testing your AI Agents, for supervising them appropriately, and for the consequences of their operation. You must ensure that your use of AI Agents complies with applicable law, including consumer-protection, advertising, and disclosure requirements.
The Service uses third-party AI models to generate Outputs. Outputs are produced automatically and may be inaccurate, incomplete, offensive, biased, out of date, or otherwise unsuitable, and may not be unique to you. You must evaluate Outputs for accuracy and appropriateness before relying on them, and you are solely responsible for any decision or action you or your End Users take based on Outputs. The Service does not provide professional advice, and Outputs are not a substitute for the judgment of a qualified professional. We make no representation that Outputs are accurate or fit for any purpose.
When you deploy an AI Agent, you determine what it does and what data it collects from your End Users. As between you and Freeborn, you are the controller of your End Users' personal data and Freeborn is your processor, and our processing is governed by these Terms and our Privacy Policy. You are responsible for providing your End Users with all legally required notices and for obtaining all legally required consents, including in relation to the use of AI, the recording and transcription of calls, the processing of messages, and the collection of personal data. You must have all rights necessary to submit Customer Content and to have us process End-User data on your behalf.
As between the parties, you retain all rights in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, display, and otherwise use Customer Content solely to provide, secure, and support the Service, to generate Outputs, and as otherwise instructed by you. We do not use Customer Content or Conversation Data to train our own or any third party's foundation models. You represent and warrant that your Customer Content, and our use of it as permitted here, does not violate any law or infringe any third party's rights, and that you have obtained all necessary rights and consents.
If you use voice, telephone, SMS, or messaging features, you are responsible for complying with all laws and carrier and platform requirements that apply to those communications, including laws on consent, call recording and monitoring, do-not-call and opt-out rights, sender registration, and permitted content and sending times. You must obtain and maintain all consents required to contact your End Users and to record or transcribe calls, provide any required disclosures and opt-out mechanisms, and honor opt-out requests promptly. You are responsible for the telephone numbers, sender identities, and message content you use. We may suspend these features if we reasonably believe they are being used unlawfully or in breach of carrier or platform rules.
The Service integrates with third-party services that you choose to connect, including AI model providers, payment processors, email and telephony providers, and messaging and social platforms. Your use of a third-party service is governed by that third party's own terms and privacy notice, and it is a relationship between you and that third party. We are not responsible for third-party services, and we do not warrant them. You are responsible for maintaining the rights and permissions needed to connect and use them, and a third party's change to, or discontinuation of, its service may affect the Service's functionality without liability to us.
We may offer free plans, trials, or promotional access, which we may modify or discontinue at any time. We may also offer features identified as beta, preview, or experimental, which are provided "as is", may be changed or withdrawn, and may be less reliable than generally available features. Beta features are excluded from any service commitments, and you use them at your own risk.
The Service, including all software, models we develop, designs, text, graphics, logos, and the "AI SNS CHAT" and Freeborn marks, and all intellectual-property rights in them, are and remain owned by Freeborn or its licensors and are protected by law. Except for the limited rights expressly granted to you in these Terms, no rights are granted to you, by implication or otherwise. You must not use our names, logos, or trademarks without our prior written consent, except as permitted by any branding we supply for deployed agents.
If you provide us with suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that feedback for any purpose without obligation or compensation to you.
Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. The receiving party will use the disclosing party's confidential information only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to personnel and advisors who need it and are bound by confidentiality obligations, or as required by law. This section does not apply to information that is public, independently developed, or rightfully received from a third party without a duty of confidentiality.
To the maximum extent permitted by law, the Service, including all Outputs, is provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that Outputs will be accurate or reliable, or that the Service will meet your requirements. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees you actually paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the liability, or, if you are on a free plan, one hundred U.S. dollars (US$100). These limitations form an essential basis of the bargain and apply even if a limited remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for willful misconduct or gross negligence.
You will defend, indemnify, and hold harmless Freeborn and its officers, directors, employees, and agents from and against any third-party claims, actions, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: your Customer Content; your AI Agents and their Outputs; your use of the Service; your communications with, and processing of data about, your End Users; your violation of these Terms, the acceptable use policy, or applicable law; or your infringement or misappropriation of any third party's rights. We will notify you of the claim, allow you to control the defense (provided any settlement that imposes obligations on us requires our consent), and reasonably cooperate at your expense.
You may stop using the Service and terminate your account at any time. We may suspend or terminate your access to all or part of the Service, with or without notice, if: you breach these Terms or the acceptable use policy; you fail to pay fees when due; your use poses a security, legal, or operational risk to the Service, us, or others; we are required to do so by law or by a third-party provider; or you become the subject of insolvency proceedings. Where practicable and lawful, we will give you notice and an opportunity to cure a curable breach. We may also suspend specific features (such as telephony or a connected integration) where we reasonably believe they are being misused.
On termination or expiry, your right to access and use the Service ends, and any outstanding fees become due. For a limited period after termination that we determine in good faith, and where the Service provides the functionality, you may export your Customer Content; after that period, we may delete or de-identify it in accordance with our Privacy Policy and backup-rotation cycles, except where retention is required by law. Sections that by their nature should survive termination will survive, including Sections 10, 13, 15, 16, 17, 18, 19, 20, 22, 26, 30, 31, and 32.
We continuously develop the Service and may add, change, suspend, or remove features, or modify the underlying AI models and providers, at any time. We will use commercially reasonable efforts to avoid material reductions in the core functionality of paid plans during a paid term. Unless we agree a separate written service-level agreement with you, the Service is provided without any uptime or availability commitment, and we may perform scheduled or emergency maintenance.
You must comply with all applicable export-control and economic-sanctions laws. You represent that you are not located in, or a resident or national of, any country or region subject to comprehensive sanctions, and that you are not on any restricted-party list, and you agree not to use or provide access to the Service in violation of such laws.
We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, governmental action, Internet or utility failures, and failures or changes of third-party providers.
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or the Service (including non-contractual disputes) are governed by and construed in accordance with the laws of Japan, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the Osaka District Court (大阪地方裁判所) as the court of first instance for any dispute, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
We may revise these Terms from time to time. When we make material changes, we will post the updated Terms on this page with a new "Last updated" date and, where appropriate, provide additional notice. Changes take effect when posted, or on a later date we specify. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service before the changes take effect.
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent, and any attempted assignment in violation of this section is void. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
We may provide notices to you by email to the address associated with your account, by posting in the Service, or by posting on our website, and such notices are deemed given when sent or posted. You must send legal notices to us at contact@ai-sns.io and, where required, to our registered office. You are responsible for keeping your contact information current.
These Terms, together with the Privacy Policy, the Commercial Transactions Act (Japan) disclosure, and any order or plan terms, constitute the entire agreement between you and Freeborn regarding the Service and supersede all prior agreements on that subject. If any provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of it, and a waiver is effective only if in writing. There are no third-party beneficiaries to these Terms. The parties are independent contractors, and these Terms do not create any partnership, joint venture, agency, or employment relationship. Headings are for convenience only.
These Terms may be provided in English and in other languages for convenience. If there is any conflict or inconsistency between the English version and a translation, the English version prevails to the extent permitted by applicable law, except where mandatory local law requires that a local-language version govern.
